2. Proposals, Fees, and Payment

Pricing, timelines, and payment terms are provided in writing and become binding only after mutual confirmation. Unless agreed otherwise, invoices must be settled according to the stated due dates.

3. Client Responsibilities

• Provide accurate and complete information required for delivery
• Respond to requests, approvals, and dependencies in a timely manner
• Assign authorized points of contact for operational and contractual decisions
• Comply with applicable laws and third-party licensing requirements

4. Intellectual Property

Each party retains ownership of its pre-existing intellectual property. Ownership and usage rights for deliverables are governed by the applicable signed agreement, including any third-party license limitations.

5. Confidentiality and Data Handling

Both parties agree to protect confidential information and use it only for agreed business purposes. Data processing and privacy obligations are further described in our Privacy Policy.

6. Third-Party Platforms

Some services rely on third-party software and platforms. Their availability, policies, and licensing terms are controlled by the respective providers and may affect scope or delivery timelines.

7. Warranties and Liability

We provide services with professional care and reasonable skill. Except where required by law, we do not accept liability for indirect, incidental, or consequential losses, including business interruption or loss of profits.

8. Suspension and Termination

Either party may suspend or terminate services in case of material breach, non-payment, or legal non-compliance, subject to applicable notice and cure terms in the signed agreement.

9. Governing Law

These Terms are interpreted under the applicable laws and regulations stated in the governing contract between the parties. In case of conflict, the signed service agreement prevails.
